Terms of service
Last updated
These terms are the agreement between you and poun for using the poun website and service. Please read them: by joining the waitlist, creating an account or using poun, you agree to them.
The short version
- The trial is 14 days and needs no card. Nothing is charged when it ends unless you choose a plan.
- Plans renew automatically until you cancel. You can cancel in one click and keep access until the end of the period you've paid for.
- Going over a limit never upgrades your plan by itself.
- Your content and your customers' data are yours. You're responsible for collecting it lawfully.
- poun is provided as it is, and our liability is limited to what you paid us in the last 12 months.
This summary helps you find your way. The full text below is what applies.
1. The agreement
“poun”, “we” and “us” mean [legal name of the business]. “You” means the person or organisation using poun. If you accept these terms for an organisation, you confirm you’re allowed to bind it, and “you” means that organisation.
These terms include our acceptable use policy and, when you use poun to handle other people’s personal data, our data processing agreement. Our privacy policy explains how we handle your own personal data.
poun is built for businesses, and you must be at least 18 to use it. If you use poun as a consumer, you keep every right consumer law gives you that can’t be excluded. Nothing in these terms takes those rights away.
2. Before launch: the waitlist
Joining the waitlist doesn’t create an account or a contract for the service. We’ll email you once when poun opens. Until then, the launch date, the features, the limits and the prices shown on this website may change. The prices that apply to you are the ones shown when you choose a plan.
3. Your account
- Give us accurate details and keep them up to date, especially your billing email.
- Keep your password, email and Google accounts secure, because that’s how you sign in. Use a password you don’t use anywhere else. Tell us straight away if you think someone else has access.
- You’re responsible for what happens in your workspace, including what your teammates do. Only invite people you trust, and give them the role they need.
4. Free trial
New workspaces get a free 14-day trial without a card. When it ends, your workspace pauses until you choose a plan: nothing is charged automatically and nothing is deleted straight away. If you don’t choose a plan, we may delete a paused trial workspace 30 days after the trial ends, and we’ll email you a week before. We may change trial offers for new sign-ups.
5. Plans, billing and renewal
- Prices are on our pricing page, in US dollars. They don’t include taxes such as VAT or sales tax, which we’ll add where the law requires.
- Plans are paid in advance, monthly or yearly, and renew automatically for the same period until you cancel. Each renewal is charged to the payment method on file.
- We’ll email you at least 7 days before a yearly plan renews.
- Payments are handled by Stripe. By paying, you also agree to Stripe’s terms for the payment itself.
- If a payment fails, we’ll email you and try again. If it still hasn’t gone through after 14 days, we may pause your workspace until it’s paid.
- Adding a tool part-way through a period is charged for the rest of that period. Removing one takes effect at the next renewal.
6. Usage limits
Each plan includes the limits shown on the pricing page, such as email subscribers, uptime monitors, feedback contacts and form responses. Going over a limit never upgrades your plan by itself. We’ll tell you by email and in poun, and nothing is cut off for 7 days. After that, you can buy more, reduce your usage or stay where you are, and we may stop the part that’s over the limit (for example, new form responses or emails beyond your allowance) until you do.
7. Price changes
We may change our prices. We’ll email you at least 30 days before a change affects you, and it applies from your next renewal after that notice. If you don’t want the new price, cancel before then.
8. Cancelling and refunds
You can cancel at any time in your workspace settings, without contacting us. Your plan stays active until the end of the period you’ve already paid for, and you won’t be charged again.
Payments aren’t refundable, including for unused time in a period, except where the law requires a refund or these terms say otherwise. If you’re a consumer in the UK or EU, you have a right to cancel within 14 days of buying; if you ask us to start the service straight away and then cancel within that time, we’ll refund you minus the part of the period you’ve used.
9. Your content and your customers' data
Everything you and your customers put into poun (your content) stays yours. You give us permission to host, copy, process and display it only as needed to run poun for you, keep it secure, and follow your instructions, such as publishing a status page.
You’re responsible for your content and for collecting personal data lawfully. In particular, you confirm that:
- you have the right to use and publish your content;
- people on your subscriber lists asked to be there (poun asks every new subscriber to confirm by email);
- your forms, boards and pages tell people who you are and link to your own privacy policy where the law requires it;
- you won’t use poun to collect passwords, full payment card numbers, or health or other special category data unless the law allows it and you’ve told us first in writing. poun isn’t designed for protected health information under HIPAA.
For your customers’ personal data, you are the controller and we are your processor, under our data processing agreement.
10. Acceptable use
Follow our acceptable use policy. If content or activity breaks it, we may remove the content, limit the feature or suspend the workspace, and we’ll tell you why unless the law or safety prevents it.
11. Our service
We work hard to keep poun available, and every status page keeps a separate copy so it stays up when we have problems. But we don’t promise any particular uptime unless we’ve agreed it with you in writing. We may need to take poun offline for maintenance, and we’ll try to give notice and keep it short.
Status pages and uptime checks. A status page shows what you and your monitors tell it. Uptime checks run at intervals and can miss short outages or report false ones. Don’t rely on poun as the only monitoring for systems where a missed alert could cause harm.
We improve poun all the time, which means features change. If we remove a main feature of a plan you’ve paid for, we’ll tell you at least 30 days before, and you can cancel and get a refund for the unused part of your prepaid period.
12. Other services
poun works with services run by others, such as Google sign-in, Stripe, email providers and your domain registrar. Their own terms apply to them, and we aren’t responsible for them. If you connect one, you allow us to exchange the data needed to make it work.
13. Our property
poun’s software, design, name and logo belong to us. These terms give you the right to use the service, not to copy, resell or rebuild it. Don’t try to reverse engineer it except where the law allows that regardless.
If you send us ideas or feedback, we may use them freely, without owing you anything. Thank you in advance.
14. Suspension and ending the agreement
You can end this agreement at any time by cancelling and deleting your workspace. We may suspend or end your access if you seriously or repeatedly break these terms, don’t pay, or if we must for legal reasons or to protect poun or other people. Where it’s reasonable, we’ll warn you first and give you a chance to fix it.
When the agreement ends, you can export your data for 30 days. After that, we delete it as described in our privacy policy. If we stop offering poun altogether, we’ll give you at least 60 days’ notice and refund any unused prepaid time.
Sections that by their nature should last, such as payment owed, ownership, liability and disputes, continue after the agreement ends.
15. Disclaimers
Apart from what these terms promise, poun is provided “as is” and “as available”. To the extent the law allows, we disclaim all other warranties, express or implied, including fitness for a particular purpose, merchantability and non-infringement.
16. Limits on liability
To the extent the law allows:
- neither of us is liable for indirect or consequential losses, or for lost profits, revenue, goodwill or data, even if it was foreseeable;
- each party’s total liability under this agreement is limited to the greater of the amount you paid us in the 12 months before the claim and US$100.
These limits don’t apply to liability that can’t be limited by law, such as for fraud, or for death or personal injury caused by negligence, nor to your obligation to pay what you owe or to your obligations under the next section.
17. Claims about your content
If someone makes a claim against us because of your content, the way you collected or used personal data through poun, or your breach of the acceptable use policy, you’ll defend us and cover the costs and damages that result. We’ll tell you promptly about the claim and let you control the defence, and we won’t settle it without your agreement.
18. Governing law and disputes
If something goes wrong, write to us first: most problems get solved quickly that way, and we’ll both try in good faith for 30 days before going further. This agreement is governed by [governing law], and disputes go to [courts]. If you’re a consumer, you can also bring a claim where you live, and the consumer protections of your country still apply.
19. Changes to these terms
We may update these terms. For changes that matter, we’ll email account holders at least 30 days before they take effect. If you don’t agree, you can cancel before then and, if you’ve prepaid, get a refund for the unused part. Using poun after the change takes effect means you accept the new terms.
20. General
- These terms, with the policies they include, are the whole agreement between us about poun and replace anything said before.
- If part of these terms can’t be enforced, the rest still applies. Not enforcing a right straight away doesn’t mean we’ve given it up.
- Neither of us is responsible for delays caused by events outside our reasonable control, such as major outages of the internet or of our providers, natural disasters or government action.
- You may not transfer this agreement without our agreement. We may transfer it to a company that takes over poun, and we’ll tell you if we do.
- We’ll send notices to your account email. You can send notices to us at the email address below.
- You must not use poun where that would break export control or sanctions laws.
